Investing Involves
Real Risk.

Investment in private securities involves a high degree of risk and is suitable only for investors who can afford to lose their entire investment. Private funds are illiquid investments with limited secondary market availability. There is no guarantee that any investor will receive distributions or a return of capital.

The fund operates under a 24-month initial lock-up period. Periodic liquidity windows are available at manager's discretion following the lock-up period and are not guaranteed. Investors should not commit capital they may need access to in the near term.

Diversification across multiple sectors does not guarantee against loss. Each sector carries its own distinct risk profile, and poor performance in one or more sectors may materially impact overall fund returns.

Certain sectors within this fund carry regulatory, legal, or market risks that go beyond standard private equity exposure. These are disclosed separately given the elevated nature of those risks.

Cannabis

Federal & Regulatory Risk

Cannabis remains a Schedule I controlled substance under federal law, regardless of state-level legalization. This creates significant legal, banking, and operational risks for cannabis operators and their investors.

Federal banking restrictions limit access to traditional financial services for cannabis businesses. Regulatory changes at the federal or state level could materially impact the value and viability of cannabis investments in either direction.

Investors should be aware that losses in cannabis investments may not be deductible under current federal tax law due to IRC Section 280E. Full details are provided in the PPM. This sector is not suitable for all accredited investors.

Web3 & Blockchain

Technology & Market Risk

Investments in blockchain ventures, tokenized assets, and Web3 infrastructure carry significant early-stage technology risk. This sector is characterized by rapid change, uncertain regulatory frameworks, and high volatility.

The regulatory landscape for digital assets and tokenized securities is actively evolving at both the federal and international level. Changes in SEC classification, CFTC oversight, or international regulatory frameworks could materially impact the value of Web3 investments.

Early-stage positioning in this sector may offer significant upside potential but also carries a meaningful risk of total loss. These investments are long-duration and highly illiquid. Full details are provided in the PPM.

05 — Tax

Tax Structure
& Treatment.

The D&G Financial Group Diversified Evergreen Fund is structured to issue investors a Form 1099 rather than a Schedule K-1. This is intended to simplify year-end tax reporting. However, tax treatment will vary based on each investor's individual circumstances, jurisdiction, and the nature of fund distributions in any given year.

The fund is structured to be FIRPTA compliant, making it accessible to foreign investors. International investors should consult with advisors familiar with both U.S. tax law and the laws of their home jurisdiction prior to investing.
